2.1 Service Description

FLASH provides AI-powered startup analysis and fundability assessments. Our services include:

• Fundability scoring based on our proprietary CAMP framework
• Personalized recommendations for improving your startup
• Access to apply for FLASH Fund investment (for qualifying startups)
• Progress tracking and re-assessment capabilities

2.2 Service Limitations

FLASH provides insights and recommendations based on data patterns and algorithms. We do not guarantee:

• Funding success or investment outcomes
• Accuracy of predictions or assessments
• Specific business results from following our recommendations

3. User Accounts

3.1 Account Creation

You must provide accurate, complete, and current information when creating your account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.2 Account Responsibilities

• Maintain the security of your password
• Notify us immediately of any unauthorized access
• Ensure all information provided is accurate and up-to-date
• Use your account only for lawful purposes

4. Acceptable Use Policy

You agree not to:

• Use FLASH for any illegal or unauthorized purpose

5. Intellectual Property

5.1 FLASH Property

All content, features, and functionality of FLASH, including but not limited to text, graphics, logos, and software, are owned by FLASH, Inc. and protected by intellectual property laws.

5.2 Your Content

You retain ownership of the information you provide to FLASH. By using our services, you grant us a limited license to use, process, and store your information solely to provide our services to you.

6. Fees and Payment

• Fees for FLASH services will be clearly displayed before purchase
• All fees are non-refundable unless otherwise stated
• We reserve the right to change our fees with notice
• You are responsible for all applicable taxes

7. FLASH Fund Terms

If you qualify for and apply to the FLASH Fund:

• Additional terms and agreements will apply
• Investment decisions are at FLASH Fund's sole discretion
• Meeting the score threshold does not guarantee investment
• All investment terms will be provided separately

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLASH AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR GOODWILL.

Our total liability to you for any claims arising from these Terms or your use of FLASH shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless FLASH, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services or violation of these Terms.

11. Termination

We may terminate or suspend your account at any time for any reason, including violation of these Terms. You may terminate your account at any time through your account settings. Upon termination, your right to use FLASH will immediately cease.

12. Governing Law and Disputes

• These Terms are governed by the laws of Delaware, United States
• Any disputes shall be resolved through binding arbitration in San Francisco, California
• You waive any right to jury trial or class action proceedings

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or platform notification. Continued use after changes constitutes acceptance of the new Terms.

14. General Provisions

• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect
• Entire Agreement: These Terms constitute the entire agreement between you and FLASH
• No Waiver: Failure to enforce any right or provision shall not constitute a waiver
• Assignment: You may not assign these Terms without our written consent
